1. Agreement to Terms

These Terms of Service ("Terms") constitute a legal agreement between Cambiio.ai ("Company," "we," "us," or "our") and you ("Customer," "you," or "your"). By accessing and using the COSTAR Platform (the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including but not limited to founders, teams, incubators, and accelerators. Your use of the Service constitutes acceptance of these Terms.

2. Service Description

The COSTAR Platform is a Software-as-a-Service (SaaS) solution designed to help founders and teams develop investor-ready propositions using a structured framework. The Service includes:

• Access to the COSTAR framework and methodology
• Pitch deck generation and customization tools
• Readiness score analysis and recommendations
• Data vault for document management
• Access to ecosystem experts and advisors (depending on plan)
• Collaboration and team management features
• Email and/or chat support (depending on plan)

The Service is provided on an "as-is" basis. We reserve the right to modify, suspend, or discontinue the Service at any time with notice to users.

3. User Accounts and Responsibilities

Account Creation: To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Prohibited Conduct: You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe upon any intellectual property rights
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to the Service
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to compete with Cambiio.ai
• Harass, abuse, or threaten other users

You are responsible for all content you upload, create, or transmit through the Service. You warrant that you have all necessary rights to such content.

4. Intellectual Property Rights

Company IP: The Service, including all software, code, design, graphics, and content (except User Content), is the exclusive property of Cambiio.ai and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only.

User Content: You retain all rights to content you create or upload ("User Content"). By uploading User Content, you grant Cambiio.ai a worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service.

COSTAR Framework: The COSTAR methodology and framework are proprietary to Cambiio.ai. You may use the framework only through the Service and for your internal business purposes.

5. Payment and Billing

Subscription Plans: The Service is offered on a subscription basis with various pricing tiers (Free, Starter, Professional, Enterprise, and Incubator plans). Pricing and features are detailed on our pricing page.

Billing Cycle: Paid plans are billed monthly or annually, depending on your selection. Billing occurs on the date your subscription begins and on each anniversary thereafter.

Payment Methods: We accept all major credit cards, bank transfers, and wire payments for Enterprise customers. All payments are processed securely through our payment processor.

Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel. You may cancel your subscription at any time through your account settings.

Refund Policy: Refunds are not available for partial months or unused portions of your subscription. Cancellations take effect at the end of your current billing period. For Enterprise customers, refund policies may be negotiated in a separate agreement.

Price Changes: We reserve the right to change our pricing with 30 days' notice. Continued use of the Service after price changes constitutes acceptance of the new pricing.

6. Confidentiality and Data Protection

User Data: We take the protection of your data seriously. Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, and protect your information.

Data Security: We implement industry-standard security measures to protect your data. However, no security system is impenetrable, and we cannot guarantee absolute security.

Data Retention: Upon account termination, we will retain your data for 30 days before deletion, unless required by law to retain it longer. You are responsible for backing up your data.

Confidential Information: Each party agrees to maintain the confidentiality of the other party's confidential information and to use it only for purposes of performing under these Terms.

7. Limitation of Liability

Disclaimer: THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CAMBIIO.AI DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAMBIIO.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Cap on Liability: CAMBIIO.AI'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

Exceptions: These limitations do not apply to claims arising from gross negligence, willful misconduct, or fraud.

8. Indemnification

You agree to indemnify, defend, and hold harmless Cambiio.ai and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your infringement of any third-party rights.

9. Term and Termination

Term: These Terms commence on the date you first access the Service and continue until terminated.

Termination by You: You may terminate your account at any time by accessing your account settings or contacting our support team.

Termination by Us: We may terminate or suspend your account immediately if you violate these Terms or engage in prohibited conduct. We will provide notice where practicable.

Effects of Termination: Upon termination, your access to the Service will cease, and you will lose access to your account and User Content (subject to our data retention policy).

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms. We will provide notice of material changes via email or through the Service.

11. Governing Law and Dispute Resolution

Governing Law: These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

Dispute Resolution: Any dispute arising from these Terms shall first be addressed through good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration or litigation in the courts of England and Wales.

Injunctive Relief: Notwithstanding the above, either party may seek injunctive relief in court to prevent irreparable harm.

12. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cambiio.ai regarding the Service.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: No waiver of any provision of these Terms shall be effective unless in writing and signed by both parties.

Assignment: You may not assign these Terms or your rights under them without our prior written consent. We may assign these Terms to any successor or affiliate.
